Delay In BISYS’ InformationServices Group Sale To OSI

GLASTONBURY, Conn. - (12/16/05) Open Solutions Inc. reported that ithas been informed by The BISYS Group, Inc. that BISYS may not beable to fulfill, on or prior to Dec. 31, 2005, a condition toclosing in the Stock Purchase Agreement for the sale of BISYS'Information Services group to OSI. At issue, said the company, isthe delivery of audited consolidated financial statements of BISYS'Information Services group for the 12-month periods ending June 30,2003, 2004, and 2005. Both parties said they have agreed to amendthe Stock Purchase Agreement to, among other things, extend the"Drop Dead Date" (as defined in the Stock Purchase Agreement) forcompletion of the acquisition from Dec. 31, 2005 to Feb. 28,2006.
