Roundup: Compass Stockholder Meeting Set for April 11

BIRMINGHAM - Compass Bancshares said its annual shareholder's meeting will be held on April 11.

Shareholders of record by March 8 will be eligible to vote at the meeting.

The agenda will include the election of three directors to serve for three-year terms. The board of directors has nominated two candidates for reelection and one new director to fill the seat being vacated by retirement.

The two candidates for reelection are Compass chairman D. Paul Jones Jr. and chief executive Charles W. Daniel. The new director nominated by the board is George W. Hansberry, a Decatur, Ala. physician.

Mr. Jones and Compass founder Harry B. Brock Jr. have been locked in a battle over the bank's independence. Mr. Brock has filed an alternate slate of nominees for the board seats, including James R. Hays, a construction executive who serves on a Compass advisory board in Huntsville; David P. Henderson, president of a refrigeration, heating, and air conditioning company in Birmingham; and Dr. Wendell H. Taylor, an orthodontist who served on the Compass board from 1964 to 1995.
