PURCHASE, N.Y. - (06/15/06) MasterCard International saidthis week it has raised directors compensation fornon-employee members of its board. The pay will include an annualretainer of $70,000; retainer of $10,000 to $20,000 for chairingone of the boards committees; and an annual stock grantworth $100,000. Non-employee directors will also receive $5,000 to$10,00 for each committee they serve on. The chairman of the boardwill receive a grant worth $150,000 a year. In addition, customaryexpenses for attending meetings of the Board of Directors and anycommittees are reimbursed.
