Canadian Centrals Plan Merger
VANCOUVER, B.C.-Two of this country's provincial-based credit union centrals are making plans to merge and create a new company to serve credit unions across Canada. Credit Union Central of British Columbia is moving forward with a plan to acquire Toronto-based Credit Union Central of Ontario, with a vote scheduled for mid-June and, if approved, the deal is to close by September. According to the two parties, which have a combined (C) $7.4 billion in assets, a regulatory change is still needed in Ontario before Ontario's CUs can begin placing funds in the Vancouver-based central credit union. BC Central must also change its own bylaws to permit Ontario CUs to become participating members and reorganize its capital structure as a result. If approved, new shares will be issued in proportion to provincial credit union assetsˆOntario's CUs are to get 31% of voting shares, while BC CUs would hold 69%. Once completed the merged entity is likely to unveil a new name, the centrals said. The centrals provide liquidity, lending, investments and payment and settlement services, along with the "MemberDirect" online service.
