First Sentry in W.Va. to Buy Rock Branch Community Bank

First Sentry Bancshares in Huntington, W.Va., has agreed to buy Rock Branch Community Bank in Nitro, W.Va.

The $508 million-asset First Sentry will pay $7.4 million in cash and stock for the $75 million-asset Rock Branch, it said Monday.

Acquiring Rock Branch would give First Sentry its first retail branches in Putnam County, W.Va. Rock Branch, established in 1996, has two branches, in Nitro and Scott Depot.

First Sentry's four branches are in Huntington, Barboursville and Hamlin, W.Va.

Dinsmore & Shohl is legal counsel to First Sentry, which did not disclose its financial adviser. Austin Associates was financial adviser to Rock Branch and Bowles Rice was legal counsel.
