Mr. Tomczyk was the vice chairman of corporate operations for Toronto-Dominion Bank and a member of TD Ameritrade's board of directors. He has resigned from the board and will resign from Toronto-Dominion, a minority owner of TD Ameritrade, to join TD Ameritrade in July.

Toronto-Dominion said Thomas Mullin would replace Mr. Tomczyk on TD Ameritrade's board. Mr. Mullin is the executive vice president and general counsel of Constellation Brands Inc. Before joining that company in 2000, he was the president and chief executive officer of TD Waterhouse Bank NA.

Ed Clark will take Mr. Tomczyk's place as the chairman of the human resources and compensation committee, and Allan Tessler will head the governance committee.

The executive changes were announced Tuesday.
