Territorial Bancorp discloses SEC probe of 2018 earnings

Territorial Bancorp in Honolulu has received a subpoena from the Securities and Exchange Commission tied to its 2018 earnings.

The $2.1 billion-asset company said in a regulatory filing Friday that the SEC is seeking documents and information tied to its earnings per share calculations for each quarter that year.

Territorial characterized the SEC’s request as a “non-public, fact-finding inquiry.”

The SEC “has informed the company that this investigation and subpoena does not mean that the SEC has concluded that any violation of law has occurred or that the SEC has any negative opinion of any person, entity or security,” the filing said.

Territorial said it intends to fully cooperate with the SEC. The company said it will not make any more comments about the investigation unless it is closed or the SEC decides to take further action.
