TNS announced the move Tuesday, the day after Mr. Randolph, 27, took over from Edward C. O'Brien, 59, who left the company "on mutual terms after many years of dedicated service," according to a press release.

Mr. O'Brien will be a consultant to TNS through June.

Mr. Randolph joined TNS in 2003 as director of accounting and assistant controller. From October 2005 to August 2006 he was vice president and assistant corporate controller, and he has been a senior vice president and corporate controller since September. Before joining TNS, Mr. Randolph worked for Ernst & Young LLP and Arthur Andersen LLP.

TNS' top executives battled for control of the company last year; its former chairman and chief executive John J. McDonnell Jr. offered last March to take it private at $22 per share. The board rejected that offer in August, and Mr. McDonnell left the company in October.

In December, Mr. McDonnell launched another takeover bid, at $20 per share. That offer also was rejected.
