ACI Worldwide Cleared To Acquire Online Resources Corp

NEW YORK – ACI Worldwide yesterday said it was notified by the Federal Trade Commission that the waiting period for its acquisition of Online Resources Corp. under the Hart-Scott-Rodino Antitrust Act was terminated, clearing the way for the all-cash, $126.6 million deal.

ACI has agreed to acquire the Chantilly, Va.-based provider of back-office services to credit unions and banks for $3.85 per share. Termination of the Hart-Scott-Rodino waiting period satisfies one of the conditions to complete the tender offer.

The acquisition will broaden ACI Worldwide’s customer base with the addition of 1,000 credit unions, banks, billers, credit card issuers, and other credit and payment service providers.
