ACI Worldwide To Acquire Online Resources Corp.

NEW YORK – ACI Worldwide, which acquired back-office service provider S1 Corp. last year, has agreed to purchase Online Resources Corp. in an all-cash deal valued at $126.6 million, the two companies announced this morning.

The deal comes closely on the heels of an agreement by Fiserv to acquire Open Solutions Inc., another provider of back-officer services and systems for credit unions and banks.

ACI Worldwide will buy Chantilly, Va.-based Online Resources for $3.85 per share. ACI Worldwide said the deal is valued at an enterprise value of about $263 million, which includes the redemption of Online Resources' preferred stock.

The deal comes as Online Resources reported losses of $973,000 for the first three quarters of 2012 and is facing a $25 million legal ruling against it.

The acquisition will broaden ACI Worldwide's customer base with the addition of 1,000 credit unions,  banks, billers, credit card issuers, and other credit and payment service providers.

Online Resources processes more than 245 million bill payment transactions annually. The company's bill payment solutions connect more than 9,000 billers.

The deal is being financed with a new $300 million term loan. ACI Worldwide said it has received fully committed financing for the transaction from Wells Fargo.
