QCR Holdings Inc. of Moline, Ill., plans to issue 260,000 shares to certain stockholders to help fund the creation of a banking subsidiary.
The private placement, announced Wednesday, is expected to close Nov. 19. Each share of common stock would be priced at $19.50. At the end of the day Thursday, QCR's stock was trading at $19.25.
The $811 million-asset company said it would use the proceeds to establish Rockford Bank and Trust Co., the holding company's third subsidiary. During the charter application process, the new bank would operate as a branch of QCR's largest subsidiary, Quad City Bank and Trust Co. in Bettendorf, Iowa.
QCR is also the parent of Cedar Rapids Bank and Trust Co. in Iowa.
