Justice OK With Fidelity, Metavante Merger

The U.S. Department of Justice has OK'd the $2.94 billion merger of Fidelity National Information Services Inc. and Metavante Corp. without conditions, the companies said in a statement today. Metavante also said that its shareholders approved the deal during a special meeting held today. The companies expect to close the deal Oct. 1, Metavante says. Jacksonville, Fla.-based Fidelity announced in April it was buying Milwaukee-based Metavante (CardLine, 4/1). CardLine sister publication American Banker reported in June that the Justice department wanted more details about the proposed merger (CardLine, 6/23). Metavante at the time said the request was not unusual, but the inquiry would push the closing of the deal back a quarter. Metavante reported $1.7 billion in 2008 revenue. Fidelity reported 2008 revenue of $3.4 billion.
