Schwartz is president and CEO of CareZone Inc., which provides a mobile application for family caregivers. He previously served as CEO of Sun Microsystems.

If approved, Schwartz "will serve as a valuable resource in helping VeriFone evolve as a company, enable the next generation of commerce, and meet our clients’ needs in this changing payments landscape," says VeriFone CEO Paul Galant in a May 6 press release.

Denend is the board's current chairman. Former MasterCard CEO Pete Hart, a current VeriFone board member, will take over as chairman if he is elected at the San Jose, Calif., company's June 17 annual meeting of stockholders.
