HOW THE NEW BANKAMERICA WILL BE RUN

Richard M. Rosenberg Chairman and chief executive officer of the present BankAmerica; will serve as chairman and chief executive officer of the new BankAmerica.

Robert H. Smith Chairman and chief executive officer of Security Pacific; will be president and chief operating officer.

Nicholas B. Binkley Chairman and chief executive officer of Security Pacific Financial Services System Inc.; will become vice chairman of the board. He will have responsibility for a nationwide network of consumer and commercial finance companies, with responsibility for leasing, U.S. institutional trust, venture capital operations, and certain administrative functions.

Lewis W. Coleman Vice chairman of the board and head of the world banking group of BankAmerica; becomes vice chairman of the board. He will have responsibility for international banking operations, domestic and international private banking, personal trust, and banking subsidiaries in the Northwest (Washington, Oregon, Idaho, Utah, and Alaska).

Jerry A. Grundhofer President and chief executive officer of Security Pacific National Bank; will become vice chairman of the board. He will have responsibility for U.S. corporate banking, correspondent banking, capital markets, the California middle market, commercial real estate, and cash management operations in the United States.

Frank N. Newman Vice chairman of the board and chief financial officer of BankAmerica; will become vice chairman of the board and chief financial officer of the new organization, with additional responsibilities for investor relations, economics, and government relations.

Thomas E. Peterson Vice chairman and head of BankAmerica's consumer banking group; will become vice chairman of the new organ-ization. He will have responsibility for the consumer banking business in California and banking subsidiaries in the Southwest (Arizona, Nevada, New Mexico, and Texas) and residential real estate lending and credit card activities company wide.

Michael E. Rossi Executive vice president and head of credit policy for BankAmerica; will have the same responsibilities for the new organization.

Kathleen J. Burke Executive vice president and head of the administrative services group of Security Pacific; will have responsibility for human resources.

Martin A. Stein Executive vice president and head of BankAmerica systems engineering; will have responsibilities for electronic systems for the new organization.
