Golden State Settles Lawsuit

Golden State Bancorp said it has agreed to a $1.32 million settlement in a shareholder lawsuit related to its merger last year with First Nationwide Holdings Inc.

The suit, filed in February 1998 in the Delaware Court of Chancery in Wilmington, alleged that the former First Nationwide gained an unfairly large stake when it bought control of Golden State last year.

It claimed that the roughly 42% stake First Nationwide picked up left Golden State shareholders with an inadequate share in the new company.
